(“SMA”) is a consulting company providing support to senior management teams of mining companies who require additional corporate development capabilities.  SMA offers corporate development services on demand and is flexible to structure agreements to best suit the needs of its clients.  SMA provides a unique skill set that bridges the gap between the technical, financial and transactional aspects of successfully completing a transaction in the mining sector.

Services provided include performing strategic reviews, managing sale processes, identifying potential acquisition targets and coordinating an acquisition.

Typical roles and responsibilities include but are not limited to:

Strategic Reviews:

  • Assist with financial evaluation to identify key value drivers
  • Coordinate technical optimization studies
  • Provide guidance on potential market reaction
  • Offer recommendations on development strategies

Sale Side Mandates:

  • Identify potential acquirers and assess value optimization strategy
  • Monitor work performed by technical advisors
  • Manage sale process
    • Provide recommendations on sale process timeline
    • Manage the creation of a dataroom
    • Coordinate site preparation
    • Assist with the selection and management of financial and legal advisors
    • Coordinate site visits and management presentations
    • Assists with buyer Q&A
    • Assists with negotiations
  • Provide regular updates to senior management and board of directors

Buy Side Mandates:

  • Develop approach strategy
  • Assist with the execution of the approach strategy
  • Coordinate due diligence process
  • Assist with initial financial evaluation
  • Manage day to day dialogue with counterparties
  • Assist with the selection of Legal and Financial advisors, as required
  • Coordinate transaction execution
  • Assists with negotiations
  • Provide regular updates to Company management
